Welcome to Knex! By accessing or using our platform, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use our services.

1. Definitions

Platform – The Knex website, application, and AI-driven matching services.
Business User – A post-revenue startup or company seeking expertise through Knex.
Fractional Executive – A vetted professional offering part-time leadership or consulting services for cash-based engagements.
Advisor – An experienced professional offering strategic, equity-based advisory services using the Founder Institute FAST Standard Agreement.
User – Refers collectively to Business Users, Advisors, and Fractional Executives.

2. Eligibility

Users must be 18 years or older and legally capable of entering into binding agreements.

3. Account Registration

Users agree to provide accurate, current information and maintain confidentiality of login credentials.
Knex may verify information or references as part of its vetting process.

4. Services Overview

  • Business Users may connect with Advisors, Consultants, or Fractional Executives through instant matching.
  • Advisors engage in equity-only relationships following the FAST standard. Knex facilitates introductions, document templates, and compliance tracking.
  • Fractional Executives may offer 30-day sprints, month-to-month retainers, or custom services for cash compensation.
  • Knex acts as an agent and facilitator — not as an employer or contracting party — for all engagements initiated through the Platform.

5. Fees and Payments

For Business Users:

  • Advisor matching is free during a 30-day trial.
  • After the trial, Knex charges $99/month for continued matching, monitoring, and compliance support.
  • A $499 activation fee applies when a FAST-standard agreement is executed with an Advisor, covering vetting and documentation.
  • For cash-based engagements, Knex charges a 10% service fee to cover payment processing and compliance.

For Advisors and Fractional Executives:

  • Joining Knex is free. Optional subscriptions or premium visibility features may apply.
  • Knex disburses payments or records equity only after verified engagement execution.
  • All payments must be made through the Platform's approved payment system.

6. User Responsibilities

Business Users:

  • Provide accurate information regarding company stage, role needs, and payment preferences.
  • Use FAST-standard templates for all equity-only advisor engagements.
  • Maintain compliance with all employment, tax, and securities laws.

Advisors & Fractional Executives:

  • Maintain accurate profiles and professional conduct.
  • Deliver services in good faith and in accordance with engagement terms.
  • Advisors must acknowledge that all equity compensation is managed under the FAST standard and tracked via Knex software.

7. Confidentiality

All Users agree to maintain confidentiality of proprietary or sensitive information obtained through Knex or its Users.

8. Intellectual Property

Knex retains ownership of all content, tools, and systems. User content (profiles, testimonials, or materials) remains the property of the User but may be used for matching and marketing purposes within the Platform.

9. Dispute Resolution

Knex encourages Users to resolve disputes directly.
If unresolved, Knex may assist in mediation but is not responsible for enforcing private agreements.
All disputes involving the Platform itself shall be resolved via binding arbitration in the State of California.

10. Termination

Knex may suspend or terminate accounts that violate these Terms, engage in misconduct, or misuse the Platform.
Users may close their accounts at any time.

11. Limitation of Liability

Knex facilitates introductions and compliance tools but is not a party to advisor or executive agreements.
Knex is not liable for loss, damages, or disputes arising from engagements between Users.
To the maximum extent permitted by law, Knex disclaims all warranties related to User performance.

12. Amendments

Knex may update these Terms periodically. Notice will be provided via the Platform or email. Continued use signifies acceptance.
